I'm not at work to check at the moment, but I don't think either of those folders contains a MessageUidsAlreadyDownloaded2 file. I have tried deleting the folders but mail.app recreates them. One is actually for a domain that no longer exists, the other is the same as #3 above - Somehow, mail.app is using these two folders to download my mail. On my work machine, in the ~/library/mail folder, there are two POP account folders.
